What the price includes

The price column shows the filing charge described in the row. Where an office has different electronic and paper fees, the note identifies the method. A minimum or base amount is labelled as such. The table does not add an optional formation company’s package price, registered-agent subscription or mail-forwarding plan to the government fee.

That distinction matters when comparing an advertisement with a government form. An advertised service price may omit state charges, and a low state fee may omit a mandatory companion filing. Check both before paying.

Required extras to include in your budget

Some states require more than the formation document. A nonexempt Nevada LLC also needs an initial list and state business license. New York requires newspaper publication and a Certificate of Publication; Nebraska requires publication and proof filed with the state. Alabama requires a name reservation before formation.

Follow the fee-source link in your row. Add any required companion filings and confirm the total for your submission method before paying.

Four hand-drawn groups separate formation fees, recurring filings, optional services, and taxes and licenses.
Keep four separate budget lines. A formation fee is only one of them.

Recurring filings and state taxes

An annual or biennial report is different from the document that forms the LLC. Some states use a flat annual tax instead of an ordinary LLC annual report. Others have both a report and tax obligations. California’s Statement of Information and its separate LLC tax illustrate why those items should not be merged into one vaguely labelled annual fee.

Our annual report and recurring-fee list shows the filing cycle alongside the charge. A biennial fee is not an annual bill, and a tax that depends on revenue or assets should not be treated as a universal fixed price.

Agent, address and service charges

A private registered-agent service is one possible way to meet a state’s requirements. The government’s agent-designation charge, where there is one, is different from that provider’s subscription. Address services, document copies and expedited processing also need their own budget lines.

Ask whether a quoted price is introductory, what it renews at, and which tasks it actually covers. You remain responsible for accurate filing information and company records when you use a service.

Compare costs where your business will operate

Start with the places where the business will operate. If you form in one state but need foreign qualification in another, you can end up paying two registration charges and maintaining two sets of filings. A lower formation fee can then produce a higher overall cost.

For a local owner-operated business, read choosing a state when you live in the US. For a founder abroad, use the non-US resident state-selection guide to separate the entity decision from tax, banking and home-country questions.

Method and sources

The table uses the same fee records as our 50 state guides and Washington, DC guide. Each row links to the government fee page, form or law supporting its amount. Fees can change after the source-check date.

The processing-time list covers state review timelines. Banking and tax registrations are separate setup tasks. Confirm the filing office’s current fee before paying.
