An ordinary nonexempt Nevada LLC needs Articles of Organization, an initial list and a state business license. Include all three charges in your formation budget.
This guide covers forming a new Nevada LLC. If your LLC already exists in another state or country, use the foreign-registration process instead.

Before you file in Nevada
Prepare the Nevada agent, management structure and initial managers or managing members. Claim a license exemption only if the business meets its conditions.
File the Articles of Organization
- Start a domestic LLC formation in the Secretary of State’s ORION portal.
- Complete the articles, initial list and business-license sections. Add the people required for the management structure you choose.
- Sign and pay the combined charges. Save the articles, initial list and license records.

What to enter in the form
- Governing people
- List the initial managers, or initial members for member management, as required. An organizer-only entry is not enough.
- Agent
- Use the appointed Nevada agent and office and complete its acceptance.
- License exemption
- Select an exemption only when it applies to the actual business.
- Series/restricted LLC
- These are special structures. Multiple owners alone do not require either option.
After approval in Nevada
- Obtain city/county licenses needed for the operating location. The state business license does not replace them.
Annual List + State Business License
- Open the LLC’s annual list and state-license renewal in ORION.
- Update or confirm the required managers/managing members and license details.
- Submit the list and license renewal by the record’s anniversary-month deadline and save both confirmations.
