Form an ordinary Michigan LLC by filing Articles of Organization on Form 700. It later files an Annual Statement. Professional LLCs have separate filing requirements.
This guide covers forming a new Michigan LLC. If your LLC already exists in another state or country, use the foreign-registration process instead.

Before you file in Michigan
Prepare the name, purpose, duration, Michigan resident agent and choice of member or manager management.
File the Articles of Organization (Form 700)
- Start domestic LLC articles through MiBusiness Registry, or use Form 700.
- Complete the name, purpose, agent and management sections. Enter a future effective date only if you want a delayed start.
- Have the organizer sign, pay and save the accepted articles and entity ID.

What to enter in the form
- Resident agent
- Use the appointed Michigan agent and registered office.
- Management
- Include the manager-management election if appointed managers will run the LLC.
- Duration
- Use perpetual duration for a company with no planned end date.
- Organizer
- The organizer signs the articles; that signature does not establish ownership percentages.
After approval in Michigan
- Keep access to MiBusiness Registry and the company’s notice email.
