How to read the rows

  • $0 report: You still file, but the state charges no fee for that report.
  • No ordinary LLC report: There is no routine entity report. Tax returns, licenses and record changes may still be required.
  • Variable amount: Calculate the charge under the linked rule. It is not a zero-dollar fee.
  • Biennial: File every two years on the state’s schedule, which may use fixed odd/even years rather than your personal anniversary.
  • Waiver or exemption: Use it only for the stated year and conditions. A temporary fee waiver does not remove the report itself.

An entity report usually updates addresses, agents or people managing the company. A tax return has a different purpose. Use the filing’s exact name so that paying one does not leave the other unfinished.

Set your filing reminders

Create a reminder with these details:

  1. The filing name.
  2. The first deadline.
  3. The recurring filing cycle.
  4. The official filing link.

Check your LLC’s first deadline before scheduling repeats. An initial report may be due soon after approval, with regular reports following a later cycle. New York’s newspaper publication is another separate post-formation task.

After filing, save the accepted report or confirmation. A reminder from a private company does not mean it has filed anything for you.

A formation plan leads to a state filing and a recurring calendar.
Keep initial tasks and recurring reports on the same calendar, with separate deadlines.

When details change or the business closes

When you replace the registered agent, file the state change as well as updating the service provider. For a name change, use the amendment process described in your state guide; an annual report may not permit it.

If you stop operating, complete the required dissolution or cancellation and close tax accounts as directed by the agencies. Leaving an LLC unused does not automatically end its filing obligations.

Each row links to the report or tax source used in the state guides. The source-check date records when the material was reviewed; confirm the current fee and deadline before filing.

For the formation charge, see LLC filing fees by state. Use the starting checklist to track first-year tasks.
